Welcome to Click2Learn. These Terms of Use (“Terms”) govern your use of our website, courses, and services (collectively, the “Services”), provided by Click2Learn (“we,” “us,” “our”).

Please read these Terms carefully. By creating an account or using our Services, you agree to be bound by these Terms.

  1. User Accounts

To use most of our Services, you need to create an account. You are responsible for all activity associated with your account and for keeping your password secure. You must provide accurate and complete information and keep your account information updated. You must be at least 18 years of age to create an account, or 13 years of age with the consent of a parent or legal guardian.

  1. For Learners: Course Enrolment and Access

When you enrol in a course, you are granted a limited, non-transferable, non-exclusive license to view the course content for your personal, non-commercial, educational purposes. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, or transfer any course.

We generally give “lifetime access” to our learners. This means you have access to the course for as long as the course is available on our platform. We reserve the right to revoke any license to access and use courses at any point in time in the event that we decide or are obligated to disable access to a course due to legal or policy reasons.

  1. For Instructors

If you are an instructor, you are also subject to our Instructor Agreement. You represent and warrant that you have the necessary licenses, rights, and permissions to authorize us to use and distribute your submitted content. You grant Click2Learn a license to offer, market, and otherwise exploit your content. You also agree to our revenue share and payout terms as detailed in the Instructor Agreement.

  1. Payments and Refunds

You agree to pay the fees for courses that you purchase. All prices are listed in Australian Dollars (AUD) unless otherwise specified. We work with third-party payment processors to offer you the most convenient payment methods and to keep your payment information secure.

We offer a 14-day refund or credit for most course purchases. This is subject to our Refund Policy, which may include conditions such as refund eligibility being voided if a substantial portion of the course has been consumed.

  1. User Conduct and Content Rules

You agree not to use the Services in any way that is unlawful, infringing, or harmful. You are solely responsible for the content you post, including questions and reviews. You agree not to post content that is illegal, obscene, defamatory, or infringes on intellectual property rights. We reserve the right to remove content and terminate accounts that violate these rules.

  1. Intellectual Property

We own the Click2Learn platform and Services, including the website, logos, branding, and our proprietary content. You may not use these without our permission.

Instructors retain ownership of the content they upload to the platform, as outlined in our Instructor Agreement.

  1. Disclaimers

Our Services are provided on an “as is” and “as available” basis. We make no warranties that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. The content provided in courses is created by instructors, and we are not responsible for its accuracy or completeness. Your use of the Services is at your own risk.

Nothing in these Terms is intended to exclude, restrict or modify any of your rights under the Australian Consumer Law (ACL). Our services come with consumer guarantees that cannot be excluded under the ACL.

  1. Limitation of Liability

To the maximum extent permitted by law, Click2Learn will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our Services. Where our liability cannot be excluded, our liability is limited to the total amount of fees paid by you to us in the 12 months before the event giving rise to the liability.

  1. Governing Law

These Terms are governed by the laws of the State of [Your State, e.g., Victoria], Australia, and you agree to submit to the exclusive jurisdiction of the courts of that state.

  1. Changes to These Terms
